The standard services

The standard services we provide to most companies are:

  • We incorporate the company and advise on the best ownership structure. (Once you have the incorporation documents, you will be able to open a bank account – this is often the hardest part of starting a small business).
  • Submitting to Companies House the annual confirmation statement (a document that confirms the names of the directors, shareholders and those who have significant control (“PSCs”))
  • Updating the statutory books and the record at Companies House to reflect changes (EG new director details, change of name.

Supporting you if you are raising funds from investors

There are many aspects to a fund raise and the more investors you have, the more rigorous that processes that support the raise will need to be. The services we provide include:

  • Check application forms signed by investors have been correctly completed
  • Check and verify investor’s AML information
  • Receive investments funds into our client account and pay them on to the client when the investment is approved by the board.
  • Updating the statutory books to reflect changes .
  • Making the relevant filings at Companies House on a timely basis
  • Maintaining a cap table for the company

Enterprise Investment Scheme (EIS) and Seed EIS Support

  • Filing the EIS1/SEIS1 form to register the EIS/SEIS scheme with HMRC, the investors and the amounts they have invested.
  • Completing EIS3/SEIS3 forms (issued by HMRC) and sending them to investors.
